Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Contractorz (the “Service”), a field-service management application operated by Azuro Digital Inc. (“Contractorz”, “we”, “us” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Contractorz helps contractors and home-service businesses manage clients, jobs, scheduling, quotes, invoices and related workflows, on the web and on mobile. We may add, change or remove features over time. Some features rely on third-party services you choose to connect (for example QuickBooks Online, Stripe, email and SMS providers); your use of those is also subject to their own terms.

2. Accounts and eligibility

You must be at least the age of majority in your province or territory and able to enter a binding contract. You are responsible for your account, for the activity that happens under it, and for keeping your sign-in secure. You must give accurate information and keep it up to date. You are responsible for the conduct of users you invite to your account and for ensuring they comply with these Terms.

3. Subscriptions, fees and billing

The Service is offered on a month-to-month subscription. Pricing is shown in the app and may include a base fee plus per-user and usage-based charges (such as messaging). Fees are billed in advance through our payment processor and, unless stated otherwise, are non-refundable except as required by law. We may change pricing on a going-forward basis with reasonable notice; the price stored on your subscription applies until then. You authorize us and our payment processor to charge your payment method for all applicable fees. If a payment fails or your subscription lapses, we may suspend or limit access.

4. Your data and content

You retain ownership of the information you and your users put into the Service, including your customer records, jobs, quotes and invoices (“Your Data”). You grant us a limited licence to host, process and transmit Your Data solely to provide and improve the Service and as described in our Privacy Policy. You are responsible for Your Data, for having the right to use it, and for obtaining any consents required from your own customers (including for messages you send through the Service).

5. Acceptable use

You agree not to:

• use the Service to break the law or infringe anyone’s rights;
• send messages without the recipient’s consent, or in violation of anti-spam or telemarketing rules (including Canada’s CASL and applicable SMS regulations);
• attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service;
• upload malware, or content that is unlawful, harmful or violates third-party rights;
• resell or provide the Service to third parties except your own authorized users.

6. Third-party integrations

If you connect a third-party service (such as QuickBooks Online or Stripe), you authorize us to exchange data with it on your behalf to provide the relevant features. We are not responsible for third-party services, their availability, or their handling of your data once it leaves the Service. You can disconnect an integration at any time from your settings.

7. Intellectual property

The Service, including its software, design and trademarks, is owned by Azuro Digital Inc. and its licensors. These Terms do not grant you any rights in the Service except the limited right to use it as permitted here.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free or secure. Contractorz is a record-keeping tool, not an accounting, tax, legal or financial-advice service; you are responsible for the accuracy of your invoices, taxes and filings.

9. Limitation of liability

To the maximum extent permitted by law, Contractorz and Azuro Digital Inc. will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the three months before the event giving rise to the claim.

10. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms or if required to protect the Service or other users. On termination, your right to use the Service ends. You may request an export or deletion of Your Data as described in our Privacy Policy.

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, in the app or by email). Your continued use after the changes take effect means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts of that province have exclusive jurisdiction, subject to any mandatory consumer-protection rights you may have where you live.
